Schellenberg Wittmer advised Nemak on the acquisition of GF Casting Solutions from Georg Fischer

Schellenberg Wittmer acted as Swiss legal counsel to Mexican-headquartered Nemak, S.A.B. de C.V. (Nemak) in connection with its acquisition of the automotive business of GF Casting Solutions, a division of SIX-listed Swiss industrial company Georg Fischer.

Following the signing of the acquisition agreement in July 2025, the transaction was successfully completed on 12 February 2026.

The transaction includes the entirety of GF Casting Solutions' automotive business, headquartered in Switzerland, with approximately USD 707 million annual revenue, and adjusted EBITDA of USD 91 million in 2024. It includes an R&D center located in Switzerland and nine production facilities strategically located in Austria, China, Romania, Germany, and the United States, with approximately 2,500 employees across its operations.

The transaction value amounts to USD 336 million, of which USD 216 million were paid at closing. The remaining compensation will be released over a five-year period until early 2031.

Nemak, headquartered in Monterrey, Nuevo León, Mexico, listed at Bolsa Mexicana de Valores (BMV), is a leading provider of innovative lightweighting solutions for the global automotive industry, specializing in the development and manufacturing of aluminum components for mobility, structure and chassis, and ICE powertrain applications.
