Philippe Borens is a Partner in Schellenberg Wittmer’s Zurich office where he heads the Banking and Finance Group. His main areas of practice are banking and finance law, including the regulation of financial intermediaries and financial services, equity and debt capital markets, investment law, and corporate law.

Experience

  • Advising Swiss and international banks, investment firms, asset managers, insurance companies, and corporates in finance transactions, including loans, acquisition finance, rights issues, bonds and notes issues, securitizations, collective investment schemes, hedge funds, derivatives and structured products, as well as securities listings and regulatory issues
  • Swiss counsel to ams AG, a leading worldwide supplier of high-performance sensor solutions, in connection with its capital increase in 2020 by way of a rights offering, raising gross proceeds of approx. CHF 1.75 billion, in view of the partial financing of the acquisition of German company Osram Licht AG, with the new shares listed and admitted to trading on SIX Swiss Exchange
  • Swiss counsel to PIERER Mobility AG, a leading manufacturer of powered two-wheelers, in connection with the listing and admission to trading of newly issued shares in the amount of EUR 895 million on SIX Swiss Exchange in 2021, including the prospectus approval procedure by way of an automated prospectus recognition for foreign prospectuses. Previously, counsel to the company before the Swiss Takeover Board in connection with an opting-out clause which in the meantime has been approved by the shareholders assembly.
