Schellenberg Wittmer advised ams-OSRAM AG on its capital increase and issuance of senior notes

On 11 December 2023, SIX Swiss Exchange-listed ams-OSRAM AG, Premstätten, Austria, a worldwide leader in intelligent sensors and emitters, completed a capital increase by way of a rights offering, raising gross proceeds of approximately CHF 781 million. The new shares have been listed and admitted to trading on SIX Swiss Exchange. The banking syndicate was led by HSBC, Morgan Stanley and UBS acting as joint global coordinators.

In addition, ams OSRAM issued on 30 November 2023 EUR 625 million 10.5% senior notes due March 2029 and USD 400 million 12.25% senior notes due March 2029.

The capital increase and the senior notes issues are key elements of ams OSRAM's recently presented financing plan.

Schellenberg Wittmer acted as Swiss legal counsel to ams OSRAM in these transactions. ams OSRAM was further advised by Linklaters acting as lead counsel and Wolf Theiss acting as Austrian counsel.
